1. Service Description

LP Data provides a data aggregation and analytics platform for private markets information, including private equity, private credit, and real estate fund data sourced from publicly available disclosures such as pension fund reports and SEC filings.

Our service includes access to fund performance data, manager information, limited partner holdings, and analytical tools. The specific features available to you depend on your subscription tier.

2. Account Registration

To access certain features of our service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3. Subscription Plans and Billing

3.1 Subscription Tiers

We offer the following subscription tiers:

• Explorer - Access to core databases with basic search and filtering
• Professional - Full access including exports, downloads, and API access

3.2 Billing

Subscriptions are billed in advance on a quarterly or annual basis. By subscribing, you authorize us to charge your payment method for the subscription fee at the beginning of each billing period.

3.3 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated to you at least 30 days before they take effect. Continued use of the service after a price change constitutes acceptance of the new pricing.

4. Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting our support team.

• Effective Date: Cancellation takes effect at the end of your current billing period. You will retain access to your subscription features until then.
• No Partial Refunds: We do not provide partial refunds for unused time within a billing period, except as described in our Refund Policy.
• Data Retention: Upon cancellation, your account data will be retained for 30 days, after which it may be deleted.

5. Acceptable Use

You agree not to:

• Share your account credentials or allow others to access your account
• Systematically download or scrape data beyond normal usage patterns
• Redistribute, resell, or sublicense our data without written permission
• Use the service in violation of any applicable laws or regulations
• Attempt to circumvent any access controls or security measures
• Interfere with the proper functioning of the service

6.1 Data Sources

The data provided through our service is aggregated from publicly available sources including pension fund disclosures, SEC filings, and other institutional reports. We strive to ensure accuracy but do not guarantee the completeness or correctness of any data.

6.2 No Investment Advice

The information provided through our service is for informational purposes only and does not constitute investment advice, financial advice, or any other type of professional advice. You should consult qualified professionals before making any investment decisions.

6.3 Intellectual Property

Our service, including its design, features, and proprietary analytics, is protected by intellectual property laws. You may use the data for your own internal business purposes but may not republish or redistribute it without our written consent.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or free of harmful components, or that any data will be accurate, complete, or current.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LP DATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to these terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless LP Data and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service or violation of these terms.

10. Modifications to Terms

We may modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of the service after changes become effective constitutes acceptance of the modified terms.

11. Termination

We reserve the right to suspend or terminate your account and access to the service at our discretion, including for violation of these terms. Upon termination, your right to use the service will immediately cease.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. Any disputes arising from these terms shall be resolved in the courts of Hong Kong.
